Here we have a list of necessary legal terms that are applied to anybody who uses or is going to use our services, also, to anyone who visits our website. These terms are important and essential for your and our legal protection and make our services more enjoyable and understandable for every person.

1. Introduction

Purpose of Our Services

We help our customers create simple yet highly functional online solutions for their hobbies/businesses/ideas growth, development, and promotion. We provide complex website design, development, and support services. We take all the website creation cycle upon ourselves: from the idea generation to its implementation and maintenance. NordicSoft.net provides our users with fully equipped websites, their separate parts or features, e-commerce platforms, content articles and texts, and online administrative systems, tools and services. The online and mobile websites and systems created for our Customers are collectively referred in these terms as 'User Project(s)', and 'User Order(s)'.

Terms Acceptance

Nordicsoft.net Terms of Use ('Terms of Use') set out the entire terms and conditions that are applied to every NordicSoft.net website(s) ('Our Site', 'Our Website', 'NordicSoft Website') visitors and users ('User', 'you', 'Our Customer(s)') of our services or any other services and features offered by us except when we evidently state otherwise.

All the services and features offered by NordicSoft.net ,collectively – 'NordicSoft Services', 'Our Services', and 'NordicSoft features', 'Our Features' accordingly.

NordicSoft Terms of Use form an obligatory and enforceable agreement between NordicSoft OU and its affiliates, branch offices worldwide ('NordicSoft', 'we', 'us') and you with respect to the use of any Services and Features provided by NordicSoft.net. If you are using Our Services for a company, you are agreeing to these Terms of Use on behalf of that company.

You are eligible to visit and/or use NordicSoft Services and Website only and exclusively if you fully agree to the NordicSoft.net Terms of Use. By visiting NordicSoft Website and/or using NordicSoft Services and/or NordicSoft Features, you imply and acknowledge your informed agreement to these Terms of Use and any other NordicSoft terms and policies applicable to your use of any NordicSoft Services and/or Features. If you refuse to read, completely understand, or agree to the NordicSoft terms and conditions, you should immediately quit the Nordicsoft Website and discontinue use of all Our Services and Features.

By using Our Features and Services, you admit that you have read and accepted NordicSoft Terms of Use, Privacy Policy, and any other legal notices or guidelines posted on Our Website.

2. Registration Notice

To register as our customer, you should provide us with a valid email address and other personal details specified in the Registration Form or additionally requested by us during the registration process. In consideration of the use of Our Services, you agree to provide and update true, current, valid, and complete details to proceed with the registration step. If you refuse to do so, or if we have reasonable grounds to suspect that your information provided is untrue, incomplete, or anyhow inaccurate, we may refuse all current and/or future use of Our Services and/or Features.

We strongly insist on providing your own (or your company's) contact and billing data, especially valid email address(es) as we may use it to determine the actual and true purchaser of NordicSoft Services and the owner of the already completed User Project.

In case of a dispute on a purchaser identification or services and subscription ownership, we reserve the right to determine property rights based on our justified reasons, whether or not the investigation was caused by us. However, if, for some reasons, we are not able to make such a determination, we reserve a right to avoid doing so and stop providing any Our Services or assistance until the parties disputing reach a decision. We may request documentation that may help us in resolving the dispute. Documentation may include, but is not limited to, a scanned copy of your business license, government issued photo ID, the last four digits of the credit card on file, etc.

3. NordicSoft Privacy Details

Our Privacy Policy, which is part of these Terms of Use, contains details on how we collect, store, use, and protect your personal information and/or specific other data about you and/or your company. We strictly insist on reading the Privacy Policy, and to use the information mentioned there to help you to make decisions regarding using Our Services.

4. Intellectual Property Rules and Obligations

Your Intellectual Property

You own all intellectual property ('User Content') provided to us for your User Project development purposes. This property include your website content materials, including any images, icons, illustrations, photography, video and audio files, designs, code, charts, tables, interfaces, artworks, compositions, text and literary works, logos, signatures, or fonts. NordicSoft.net doesn't claim any ownership on any your content. But, exceptionally for the purpose of granting your User Project to you, you should be aware that we will have to access, upload, open and/or copy your User Content while working on your User Project, including CDN and Cloud services maintenance purposes. Also, we will have to make some display adjustments, backup duplicates, and perform any other technical operations necessary and required for your User Project efficient completion.

You are responsible for all User Content that you upload, post, transmit, provide to us, or otherwise make available via Our Services. We leave a right to control the User Content you are going to post with the help of Services we provide. Your User Content does not include non-personally identifiable buyer/seller transaction or behavioral data obtained from the use of NordicSoft.net Enterprise platforms. NordicSoft.net owns all such data and uses it for Service operations, improvements, and analytics. You are also responsible for creating back-up copies of your User Content.

By using Our Services, you may be exposed to content that is offensive, indecent or objectionable. Under no circumstances will we be liable for your User Content or the content of any third party, including, but not restricted to, for any errors or omissions in your Content, or for any loss or damage of any kind incurred as a result of the use of any User Content posted, transmitted or otherwise made available via the Services we offer. You must evaluate and bear all risks associated with the use of any content, including the content writing service provided by NordicSoft.net. You may not rely on any content created by us. You acknowledge and agree that we may preserve any content and may also disclose it if required to do so by law or in belief that such preservation or disclosure is reasonably necessary to comply with legal process, enforce these Terms of Use, to respond to claims that any content violates the rights of third-parties, or to protect our rights, property, and personal and our customers' safety.

The technical processing and transmission of the Services we offer, including User Content and Content written by us, may involve transmissions over different networks, as well as changes to conform and adapt to technical requirements of connecting networks or devices.

NordicSoft.net intellectual Property

Our Site is owned by NordicSoft OU. We display content and functionality features, including but not restricting to property-owning inventions, software, source and object code, computer code (including html), website templates and widgets, trademarks, copyrights, logos, slogans, graphics, images, literary work, audio, music, video and other media, designs, animations, interfaces, documentation, derivatives and versions thereof, the “look and feel” of the NordicSoft Services, methods, products, algorithms, data, interactive features and objects, advertising and acquisition tools and methods, trade secrets, domains, customized URLs, service marks, trade names and other proprietary identifiers, whether or not registered and/or capable of being registered, are protected by international copyright, patent, trade secret and/or other intellectual property right laws. No parts of Our Website may be copied, translated, reproduces, displayed, transferred, or differently used for any purpose without a written permission provided by NordicSoft OU. We reserve all rights not explicitly granted in NordicSoft Terms of Use.

5. Services and Content Restrictions

Types of websites and content NordicSoft doesn't complete:

  • Adult Themes: Nudity, exposed genitalia and other sexual content.
  • Copyrighted Info: music, videos, movies, or games that you do not own the rights to, as well as articles, texts, and any related data taken from different resources without according confirmation or reference.
  • Violence Speech: any content that promotes cruelty or urge hatred or disgust against a certain person or group(s) of individuals (e.g. race, religion, ethnicity, gender, sexual orientation). The above mentioned are only examples, and not meant to constitute a comprehensive list of individuals or groups that may be the target of violence speech.
  • Fraudulent Activity: a site that is meant to trick users into providing their private or/and secure details.
  • Illegal Content: info that may be illegal in the EU or under the laws of other countries.
  • Scams: sites 'get rich quick', pyramid/MLM, or other dubious schemes.
  • Inappropriate Products Sale: sites that offer illegal and inappropriate items, weapons, counterfeit, stolen, fraudulent, infringing, violate rights of privacy/publicity, offensive, pornographic, or manufactured/intended to be weapons.

The list above is only a short reference; NordicSoft.net leaves a right to decide whether or not your content is appropriate to be stored on the User Projects we develop.

In addition to the restrictions specified above, customers, who are not legally able to disclose legal contracts and agreement, for example, those who are under the age of majority in their Country of Residence, are prohibited from using any NordicSoft Services.

6. E-Commerce Through NordicSoft

NordicSoft Services also include developing solutions for you to sell or purchase goods or/and services through websites and/or platforms created by NordicSoft.net ('E-Commerce Services', 'Enterprise Services/Solutions', 'User Product(s)', 'Commercial Product(s)').

We are merely providing the platform for buyers and sellers to manage transactions for above mentioned services. With an eye to order an e-commerce platform completed by us, you must be 18 or more years old or at least the age of majority in your Country of Residence and you should provide your full legal name, current address, valid email address, and any other information requested by us.

We are not anyhow involved in your relationship with your actual and/or potential customer(s) or any transactions made between you and actual and/or potential buyers of your User Products. When a buyer purchases your Commercial Products, such transaction's payments will be processed through such third party payment service providers with which you decided to work with. You must provide your User Products actual and/or future buyer with a notice when entering their payment information directing them to the third party payment service provider's terms of service and privacy policy. These payment services are governed solely by the payment service provider's terms of service and privacy policy. We are not responsible for any actions of these third party service providers. In addition to the other rules and requirements described in these Terms of Use, you must follow the rules listed when offering, selling, or purchasing your Commercial Products.

Commercial Products that YOU ARE NOT TO OFFER VIA OUR SERVICES:

  • Illegal or potentially illegal: fake, stolen, or fraudulent.
  • Violating or have the potential to infringe or violate the intellectual property or privacy rights of another or that may be libelous, slanderous, or otherwise defamatory.
  • Inappropriate, offensive, pornographic, sexually or violently explicit.
  • Weapons, or any objects that were manufactured or intended to be weapons.
  • Things, names, or photos/pictures of any third party (including notable persons or celebrities) when offering or selling your User Products without first obtaining that third party's permission.

The list above is only a short reference; we leave a right to decide whether or not your User Product is appropriate to be offered via Our Services.

7. Service Payments

The use of any of NordicSoft Services and/or Features is subject to payment of certain fees, as determined by NordicSoft in its sole discretion. If you wish to receive or use Our Services and/or features, you are required to pay all applicable fees accordingly. Besides package prices offered from our side, we leave a right to determine the actual price of the Service you wish to order, based on details and requirements provided from your side. We reserve the right to change our prices and/or bundle certain parts of Our Service together for pricing purposes, and may do so at any time. You authorize us to make any reasonably necessary inquiries to validate your financial information.

All Fees applicable are in Euro and do not include any taxes, levies, duties or similar governmental assessments of any nature, including, for example, value-added, sales, use or withholding taxes, assessable by any jurisdiction (collectively, “Taxes”). It is your responsibility to determine what, if any, Taxes apply to the payments you make or receive, and it is solely your responsibility to assess, collect, report and remit the correct Taxes to the appropriate authority. If you purchase any Services that we offer, you consent to NordicSoft, or our third party service providers, storing your payment card information and you authorize us to charge you all required fees for Services you purchase, and any applicable Taxes in connection with your use of the Services we offer to the payment card you provide, and you will reimburse us for all costs associated with the collection of any overdue amounts.

For as long as we continue to offer the Service, we will provide and seek to update, improve, and expand Our Services and/or Features. We may modify (e.g., change data storage or capacity limits), replace, refuse access to, suspend or discontinue offer any of Our Services and/or Features partially or entirely, or change and modify prices for all or part of the Services we offer in our sole discretion. All of these changes are effective upon their posting on Our Site or by direct communication to you unless otherwise noted.

NordicSoft and our affiliates will issue invoices of every payments or refunds made to or from our side. Each invoice will be issued in electronic form by e-mail.

8. User Project Workflow and Stages, Changes and Improvements Policy

Every customer's User Project done by NordicSoft comes through several specified and identified stages of work ('project stages') that comes in sequence and are connected to each other. Thereby, each project stage is approved by the customer once it is completed, and is automatically become a base for another stage.

Please note, that once each project stage is approved, its instruction and requirements cannot be changed. All further requests to change the already approved structure and/or any kind of requirements will be considered as a change of instruction and/or service, which will lead to additional payments to be made from your side (e.g. if you have already approved your future website colors, you cannot request to change them once the design concept is already completed).

We leave a right to determine and establish any additional payments required for the change of Service, based on the current prices we offer for each Service or/and Feature (e.g. if you request to change the content requirements after it's already written/being written according to the initial instructions, you will be obliged to pay extra fee as for the Content Writing Service ordered as an additional feature.

9. Money Back Guarantee

All NordicSoft Services, except monthly maintenance fees, include a money back guarantee. If you are dissatisfied with Our Service for any reason, you are eligible to request a full or a partial refund. Please direct refund requests to refund@nordicsoft.net with the subject line: Refund Request.

By visiting our website and/or current or future using any Our Services, you agree to our Terms of Use, including our Money Back guarantee notice.

Payments for all the Services we offer, except Content Writing Service (par.12) when ordered as a separate feature, is divided into two parts. First 50% deposit from the total fee is paid immediately after you provided us with all the required info and instructed to proceed with your User Project ('First Stage').The rest 50% ('Second Stage') is due once the project basic structure and basic design concept is completed from our side and approved from yours. We leave a right to decide and inform you about your project stages based on its specific instructions or complexity among other factors. Once the project basic structure and basic design concept is done and approved, we inform our customer that it's time for the Second Stage to take place and according deposit to be paid.

Our Money Back Guarantee states that only first 50% deposit can be refundable if we have failed to satisfy your obligations to compete the job needed underneath the agreement.

Case is called REFUNDABLE if: you send a refund request to the according email address (refund@nordicsoft.net); if specified reasons doesn't belong to any nonrefundable case(s) stated below; if you send the request in timely manner - according to the current Money Back Guarantee, all refund requests can and should be sent after the first stage of your User Project is completed. You will be provided with the project basic structure and basic design concept, and, if you decide it doesn't meet your requirements, you will have up to 5 (five) working days period to require a refund of the prepaid deposit ('Refund Period'); if you specify clearly defined list of reasons why we failed to meet your requirements; if specified list of reasons doesn't contradict requirement and/or instructions that were initially provided from your side.

By agreeing to our Terms of Use together with this Money Back Guarantee, you confirm not to request/apply refunds, chargebacks, partial refunds, cancellations, claims, or otherwise get money back without sending the according request to us and notifying us about your intentions. Otherwise, your actions will be considered as fraudulent, and we leave a right to notify all the necessary instances about possible fraud activities done from your side. If you have any questions or concerns regarding any payment made to us, we insist that you contact our Customer Support team first, before filing a Chargeback or reversal of payment, in order to prevent from filing of an unwarranted or erroneous Chargeback, which may result in your being liable for its applicable fees, in addition to re-payment of all the fees applicable to the Our Services purchased (and charged-back) by you.

We reserve our right to dispute any Chargeback received, including by providing the relevant credit card company or financial institution with any information and documentation proving that the User responsible for such Chargeback did in fact authorize the transaction and make use of the Services rendered thereafter.

Please note that we can only accept refund claims for Services purchased via Our Website - purchases made from affiliate websites are subject to those websites' refund policies.

The Refund amount may be different than the amount you initially paid due to currency changes and third party fees. NordicSoft will not be responsible for any differences caused by change of currency exchange rates or fees you were charged by third parties. After the Refund Period, the fees paid by you are non-refundable and non-cancellable.

NON-REFUNDABLE cases and services:

  • You ordered wrong type of service or User Project; provided incorrect instructions, requirements, decided to change your project directions and/or purposes together with details and requirements initially provided from your side.
  • You decided to stop working on your User Project due to any personal reasons. You can request us to stop working on the User Project, but, the deposit cannot and will not be refunded due to the respect to our team's spent time and efforts.
  • Any monthly/yearly maintenance subscription payments and/or fees.
  • Content writing feature ordered as a separate/additional service.
  • Any kind of taxes and/or any third-parties' fees and payments for any kind of services, such as domains, business tools and applications.

The terms of each purchased Service or application are indicated on the NordicSoft Website and/or as part of or during the process of purchasing such Services. It is your obligation to verify your ability to cancel a service prior to making any payments for it. We will not refund any amounts paid for non-refundable cases, services, features, or third party services and/or applications.

10. Third Party Services, Software, and Websites

NordicSoft is not responsible or liable for any loss or damage of data incurred as a result of your use of any third party's service, product, software, or website, including but not limited to any content thereon such as text, documents, designs, images, clips, photographs, videos, artwork, graphics, audio, audio-visual files, messages, interactive and instant messaging, posts, functions, files, documents, or other materials (collectively, “Third Party Materials”) whether or not you were linked to or directed to any Third Party Materials by or through Our Services. NordicSoft does not endorse or assume responsibility for any Third Party Materials and makes no guarantee regarding the reliability, accuracy, nature, origin, quality, or use of such Third Party Materials. You are solely responsible for ensuring that your use of any Third Party Materials, including those made available by or through Our Services, is done solely in accordance to all relevant laws, and the terms and conditions of any applicable licenses or other agreement. In no will NordicSoft be liable to you or any third party for your use or alleged use of any Third Party Materials.

Further, Third Party Materials, such as email, e-commerce and payment services including but not limited to, PayPal payment option, may be subject to the applicable third party terms of service and privacy policies, and you are solely responsible for reviewing, agreeing to, and complying with any such terms before you use any Third Party Materials. Your use of any Third Party Materials is at your own discretion and risk. If you do not agree to the third party's terms of service or license agreement, do not use the Third Party Materials. Any reference on the website(s) to any Third Party Materials is not an approval or endorsement by us of such Third Party Materials.

Third Party Payment Processors: NordicSoft uses third party payment processors to assist us in securely processing your personally identifiable payment information. Such third party processors' use of your personal information is governed by their respective privacy policies which may or may not contain privacy protections as protective as the NordicSoft Privacy Policy. Payments are currently processed and managed using the third party vendors. We will inform you which payment processors are used when processing your payments.

11. Resale of Our Services

According to the current NordicSoft Terms of Use, you will not reproduce duplicate, copy, sell, resell, or otherwise use any portion of Our Services and/or Features without our written permission, which may be in the form of a separate written agreement with us.

12. Content Writing Service

NordicSoft also offers content writing services which can be ordered by a Customer as a separate feature. Orders for content can be placed through our website via sending us a request/email, or contacting our customer care department. The turnaround time begins on the date and time when we are able to confirm that the directions and instructions provided are clear enough to start working on a project. If we find that a writer needs a more detailed explanation of your project, we will make every attempt to contact you in order to get the correct information and/or clear directions in a timely manner.

If you decide that you wish to cancel the order, it can be done within 14 days of placing it and if at this point no work has begun on the project.

Payments

If ordered as a separate feature, content writing services fees are paid full amount immediately after all the details are received and we are instructed to start working on the project. Payment amount depends on the approximate word count and/or additional features added (e.g. urgency, pictures, etc). We leave a right to determine the exact fee upon your instructions and details provided.

Client Instructions

Before we start working on the project, and before any payments are done, we ask you to complete a comprehensive form detailing the type of content you require. We will strive to meet your instructions to the best of our ability, and will attempt to contact you with diligence if any questions occur. The word count is an estimate only, and will not be delivered upon as an exact amount. The word count is meant as a guide for the writer who will make every effort to fall within fifty words of your desired word count, either plus or minus. If that obligation cannot be met, we will inform you of the difficulty with an explanation of why, and wait for further instructions from your side.

Submission of Content

Once your content is completed, it will be submitted to you for review. You will then have five days to inform us of any changes or corrections required. If we do not hear from you within that time frame, we will assume that the content was executed to your satisfaction.

Revisions

NordicSoft allows for unlimited revisions of your content. But, if we believe that our revision policy is being abused by a customer, we will discontinue our business relationship without any notice from our side. A revision means correcting grammatical errors, any possible structure issues and minor adjustments to content. This revision policy in no way obligates us to a complete rewrite of content unless a gross error has been made on our part.

Copywright Notice

During the order completion, the copyright produced by any writer employed by us belongs to us. When the project is done and upon your acceptance of the completed work, we hereby automatically and irrevocably assigns all right, title and interest worldwide in and to such intellectual property rights concerning such order to you.

Our team of writers works under the separate agreement to maintain high standards for content writing and to only provide texts that are original and written specifically according to the requirements.

Deadlines for Customers

We deliver content within business days. Weekends and major holidays shall not serve as business days for purposes of calendaring. The exact deadlines are decided by our customer care department depending on each project specific instructions. Every Our Customer is notified about the approximate deadline before we start working on the project, and should agree to this deadline before any payments are done from his/her side.

Revision Deadlines

After receiving content for a revision, writers can take three (3) days to check and correct it. But this time-frame is approximate and can vary depending on project word count among other reasons. According current Terms of Use, NordicSoft leaves a right to determine the precise revision deadline.

13. Warranties Disclaimer

YOUR USE OF OUR SERVICES IS AT YOUR SOLE RISK. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND NON-INFRINGEMENT.

WE ARE NOT RESPONSIBLE FOR ANY DAMAGE, LOSS OF DATA, PERSONAL INFORMATION OR VENDOR DATA, REVENUE, OR OTHER HARM TO BUSINESS ARISING OUT OF DELAYS, MISDELIVERY OR NONDELIVERY OF DATA, RESTRICTION OR LOSS OF ACCESS, BUGS OR OTHER ERRORS, UNAUTHORIZED USE DUE TO YOUR SHARING OF ACCESS TO THE WEBSITE, OR OTHER INTERACTION WITH THE SERVICES WE PROVIDE. YOU ARE RESPONSIBLE FOR MAINTAINING AND BACKING-UP YOUR DATA AND INFORMATION THAT MAY BE STORED VIA THE SERVICES WE PROVIDE. NORDICSOFT DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS, THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THE INFORMATION THAT MAY BE OBTAINED FROM THE USE OF OUR SERVICES WILL BE ACCURATE OR RELIABLE, THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE WEBSITES WE DEVELOP WILL MEET YOUR EXPECTATIONS, AND ANY TYPES OF ERRORS IN THE SERVICE WILL BE CORRECTED.

ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF OUR SERVICES IS DONE AT YOUR OWN DISCRETION AND RISK AND YOU ONLY WILL BE RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIALS.

THESE TERMS APPLY SOLELY TO THE SERVICES WE OFFER. AS PART OF THE SERVICES PROVIDED TO OUR CUSTOMERS, WE HOST WEBSITES FOR CERTAIN THIRD PARTIES (“THIRD PARTY WEBSITES”). THIRD PARTY WEBSITES INCLUDE CONTENT CREATED BY THIRD PARTIES AND ARE NOT UNDER THE MANAGEMENT AND CONTROL OF NORDICSOFT. WE DO NOT TAKE ANY RESPONSIBILITY FOR SUCH THIRD PARTY WEBSITES, INCLUDING WITHOUT LIMITATION, THE ACCURACY, SUFFICIENCY, CORRECTNESS, RELIABILITY, VERACITY, COMPLETENESS OR TIMELINESS THEREOF, ANY LINKS THEY CONTAINE, OR ANY CHANGES OR UPDATES RELATED TO THOSE WEBSITES, OR ANY GOODS OR SERVICES SOLD THERE. YOUR ACCESS OR USE OF ANY THIRD PARTY WEBSITE IS REGULATED BY THE TERMS APPLICABLE TO SUCH THIRD PARTY WEBSITE. THE HOSTING OF ANY THIRD PARTY WEBSITE DOES NOT IMPLY AN ENDORSEMENT OR OF THE PROVIDER OF SUCH CONTENT OR SERVICES, OF ANY THIRD PARTY SITE.

NEITHER NORDICSOFT NOR ANY THIRD PARTY PROVIDERS, PARTNERS, OR AFFILIATES CAN GUARANTEE THAT THE WEBSITE, ITS SERVERS, THE MATERIALS, OR ANY EMAIL SENT FROM THE WEBSITE OR ANY THIRD PARTY PROVIDERS, PARTNERS, OR AFFILIATES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

14. Liability Limitation
